Banfield Pet Hospital Legal Counsel in Vancouver, Washington

This will be a hybrid role based out of the Banfield Pet Hospital headquarters in Vancouver, WA.

Salary Range: $118,796 - $163,344 (DOE)

Summary and Qualifications:

Oversees and manages the provision of all transactional related legal services to the practice to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law. Provides strategic guidance, consultation, and support to leadership and other members of senior leadership on a comprehensive range of legal and associated issues involved in carrying out the mission of the practices. This role involves the negotiation of the legal terms and conditions of contracts; providing a legal analysis of the associated risks; and related advice to address, manage and mitigate the risks identified.

Essential Responsibilities and Tasks:

  • Live and exemplify the Five Principles of Mars, Inc. within self and team.

  • Assist with acquisitions and run point on all legal negotiations and deals. Advising leaders of the key legal risks of the proposed project and contract, including what legal and regulatory issues need to be addressed early in the process.

  • Review and negotiate commercial contracts.

  • Coordinating with cross functional teams (tax, independence, information security) and legal colleagues (data privacy, employment, alliance) in order to provide a comprehensive risk assessment and risk management.

  • Perform legal research, analyze risk, and give accurate and timely counsel to stakeholders in a variety of legal topics (veterinary practice, acquisitions, real estate, contracts, etc.).

  • The legal point of contact when there is a security and/or privacy data breach to provide the appropriate advice and guidance. Help provide legal notices if required by state or federal regulators when dealing with privacy breaches.

  • Conduct and provide trainings around contracts and privacy with Mars Veterinary Health (MVH) commercial teams.

  • Builds relationship with Mars in-house Legal team and participates in departmental initiatives such as centers of excellence and template agreement development.

  • Drafting and negotiating contracts with third parties (master service agreements, professional services agreements, NDAs, outsourcing agreements, technology services agreements, systems implementation agreements, hosting agreements, software as a service agreements) to address the risks identified and levels of performance required from the third party.

  • Ensure all contractual documents compliant with Banfield and Mars policies and maintain an understanding of the impact of any changes in policies, organizational structure, and procedures.

  • Provide advice based on the appropriate balance of risk mitigation and business interests on a real-time basis.

  • Assist on projects as needed, including general corporate, vendor relationship and risk management issues, as well as assisting with the management of external counsel.

  • Collaborates and partners with other internal and external legal partners, such as MVH commercial, Mars privacy and security, Compliance, other business units, and external law firms.

  • Oversees outside counsel work on contracts and/or transactional related matters. Manage budget and outside counsel spend related to transactional matters.

  • Apply effective risk management techniques and offer proactive advice on possible legal issues.

  • Other job duties as assigned.

Special Working Conditions:

  • Ability to work at a computer for long periods of time.

  • Project timelines and work volume/deadlines may often require more than 40 hours per week to complete essential duties of this job.

  • Must have mental processes for reasoning, remembering, mathematics and language ability (reading, writing, and speaking the English language) to perform the duties proficiently.

  • Ability to carry out instructions furnished in written, oral, or diagram form and to solve problems involving several variables.

  • Ability to stand, walk, stoop, kneel, crouch, and climb as well as manipulate (lift, carry, move) up to 50 pounds.

  • Requires good hand-eye coordination, arm-hand-finger dexterity with the ability to grasp, and visual acuity to use a keyboard and operate necessary equipment.

  • The noise level in the work environment is normally moderate.

  • Environment where pets are present.

Experience, Education and/or Training:

  • Juris Doctorate (JD) is required, or the equivalent combination of education, training and experience that provides the required knowledge, skills, and abilities.

  • Licensed in Washington, or eligible for license in Washington, as in-house counsel is preferred.

  • Six years of Corporate Law experience are required.

  • Acquisitions experience is required.

  • Commercial contracts experience is required.

  • Real estate experience is preferred.
